Directors and Officers Face Personal Liability in Tort: Ensuring Accountability.
Corporate executives should be held accountable for their actions, but not to the point of being personally responsible for all of the company's debts. This article examines how U.S. courts assign liability to directors and officers in cases involving non-shareholder third parties. By comparing U.S. and Canadian laws, the article argues that directors and officers should be held to the same standards as everyone else under tort law. Special defenses for executives only lead to unethical behavior and deny justice to those who have legitimate claims against them.
