Upstream firms that sell products to competing downstream firms don't always want to merge horizontally. When bargaining involves two-part tariffs instead of wholesale prices, these firms prefer to stay independent suppliers. Surprisingly, horizontal mergers can actually promote competition, even without efficiency improvements.
