The article analyzes what directors' oversight entails and how it relates to the business judgment rule. The Companies Act allows for consideration of foreign laws in interpreting its provisions. By looking at the Model Business Corporation Act, the article aims to clarify the directors' oversight function and its alignment with the business judgment rule.
