European Directors Face Increased Accountability with New Liability Regime
Directors in European companies have specific duties and liabilities to ensure proper management and protect stakeholders. The European Commission has not thoroughly addressed these issues yet. This study examines directors' duties and liabilities in all EU Member States and Croatia to help the European Commission shape future policies. The research shows that directors' responsibilities and liabilities vary during normal operations and near insolvency. By comparing different national laws, the study highlights similarities and differences in directors' obligations and their implications across borders.
